1. RELEASE OF LIABILITY; ASSUMPTION OF RISK; INDEMNITY

USING THIS FACILITY OWNED BY SOUL WARRIOR CONSULTING, INC. D/B/A SOUL WARRIOR FITNESS, NUTRITION & WELLNESS, OR ANY OTHER SOUL WARRIOR FACILITY, INVOLVES THE RISK OF INJURY TO YOU OR YOUR GUESTS(S), WHETHER YOU OR SOMEONE ELSE CAUSES IT. SPECIFIIC RISKS VARY FROM ONE ACITIVTY TO ANOTHER AND THE RIKS RANGE FROM MINR INJURIES TO MAJOR INJURIES, SUCH AS CATASTROPHIC INJURIES INCUDING DEATH. IN CONSIDERATION OF YOUR PARTICIPATION IN THE ACTIVIITIES OFFERED BY SOUL WARRIOR CONSULTING, INC., YOU UNDERSTAND AND VOLUNTARITYLY ACCEP THE RISK AND RELEASE SOUL WARRIOR CONSULTING, INC AND EACH OF THEIR RESPECTIVE AFFILIATES, AND EACH OF THE OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, VOLUNTEERS, AGENTS AND INDEPENDENT CONTRACTORS THEREOF (THE “RELEASEEs”), FROM ALL LIABIILTY FOR ANY INJURY, INCLUDING, WITHOUT LIMITATION, PERSONAL , BODILY, OR MENTAL INJURY, ECONOMIC LOSS, OR ANY DAMAGE TO YOU, YOUR SPOUSE, GUESTS, UNBORN CHILD, OR RELATIVES, RESULTING FROM YOUR USE OF SOUL WARRIOR’S SERVICES AND EQUIPMENT, INCLUDING ANY INJURY RELATING TO THE ORDINARY OR GROSS NEGLIGENCE, ACTUAL OR PASSIVE, OF THE RELEASEES OR ANYONE ACTING ON THE RELEASEES’ ANYONE ACTING ON THE RELEASEES’ BEHALF OR ANYONE USING SOUL WARIOR’S FACILITIES, WHETHER RELATED TO EXERCISE OR NOT. IN CONSIDERATION OF YOUR BEING ABLE TO PARTICIPATE IN SOUL WARRIOR’S ACTIVITIES, YOU AGREE TO INDEMNIFY, DEFEND AND HOLD THE RELEASEES HARMLESS AGAINST ANY LIABILITY, DAMAGES, DEFENSE COSTS, INCLUDING ATTORNEYS’ FEES, AND ANY OTHER COSTS INCURRED IN CONNECTION WITH CLAIMS FOR BODILY INJURY, WRONGFUL DEATH, OR PROPERTY DAMAGE CASUSED BY YOUR NEGLIGENCE OR OTHE ACTS OR OMISSIONS. YOU FURTHER AGRE TO HOLD HARMELSS, DEFEND AND INDEMNIFY THE RELEASEES FROM ALL LIABILITY, DAMAGES, DEFENSE COSTS, INCLUDING ATTORNEYS’FEES, AN ANY OTHER COSTS INCUDRRRED IN CONNECTION WITH CLAIMS FOR BODILY INJURY, WRONGFULD DEATH OR PROPERTY DAMAGE BROUGHT BY YOU, YOUR GUEST, OR MINORS, EVEN IF THE RELEASEES WERE NEGLIGENT. FURTHER, YOU UNDERSTAND AND ACKNOWLEDGE THAT THE RELEASEES DO NOT MANUFACTURE FITNESS OR OTHER EQUIPMENT, BUT PURCHUSES AND/OR LEASE EQUIPMENT. YOU UNDERSTAND AND ACKNOWLEDGE THAT THE RELEASEES AND SOUL WARRIOR ARE PROVIDING RECREATIONAL SERVICES AND MAY NOT BE HELD LIABLE FOR DEFECTIVE PRODUCTS. YOU ACKNOWLEDGE AND AGREE THAT YOU HAVE READ THE FOREGOING AND KNOW OF THE NATURE OF THE ACTIVITIES AT SOUL WARRIOR FITNESS, NUTRITION & WELLNESS.

2. DISPUTE RESOLUTION (U.S.)

OTHER THAN A CLAIM FOR PERSONAL INJURY, OR A CLAIM BROUGHT IN SMALL CLAIMS COURT, YOU AGREE THAT ANY DISPUT WITH SOUL WARRIOR, INCLUDING IT OFFICERS, DIRECTORS, EMPLOYES AND AGENTS, MAY BE RESOLVED FIRST, THROUGH INFORMAL DISCUSSIONS WITH SOUL WARRIOR. THE, IF UNSUCCESSFUL, BY NON-BINDING MEDIATION. IF A MEDIATIOR CANNOT RESOLVE THE DISPUTE, THE YOU AGRE TO WAIVE YOUR RIGHT TO A JURY TRIAL AND CONSENT TO BINDING ARBITRATION BEFORE A SINGLE ARBITRATOR UNDER THE THEN-CURRENT COMMERCIAL DISPUTE RULES OF THE AMERICAN ARBITRATION ASSOCIATION (“AAA”) IN A LOCATION NEAR YOUR STUDIO OF ENROLLMENT. YOU AND SOUL WARRIOR FURTHER AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PRUPORTED CLASS OR REPRESENTATIVE PROCEEDING. IF YOU DO NOT WISH TO BE BOUND BY THIS DISPUTE RESOLUTION PROVISION, YOU MAY OPT OUT BY SENDING A WRITTEN NOTICE TO SOUL WARRIOR CONSULTING, INC. 131 DODGE STREET, BEVERLY, MA 01821 WITHIN 90 DAYS AFTER THE DAY YOU SIGN THIS AGREEMENT. MEDIATION COSTS MUST BE SPLIT EQUALLY. ARBITRATION COSTS WILL BE BORNE BY SOUL WARRIOR IN AN AMOUNT AS FAIRLY DETERMINED BY THE ARBITRATOR.

3. OTHER TERMS AND CONDITIONS

3.1. MEDICAL CONDITIONS BEFORE USING SOUL WARRIOR SERVICES OR FACILITIES, YOU REPRESENT THAT YOU ARE IN GOOD HEALTH AND HAVE NO DISABILITY, IMPAIRMENT, INJURY, DISEASE, OR AILMENT, PREVENTING YOU FROM ENGAGING IN ACTIVE OR PASSIVE EXERCISE OR WHICH COULD CAUSE INCREASED RISK OF INJERY OR ADVERSE HEALTH CONSEQUENCES AS A RESULT OF EXERCISE. YOU ASSUME FULL RESPONSIBILITY FOR YOUR USE OF THE SOUL WARRIOR FACILITY AND SHALL INDEMNIFY SOUL WARRIOR CONSULTING, INC., ITS AFFILIATES, AGENTS, AND EMPLOYEES, AGAINST ANY AND ALL DAMAGES ARISING OUT OF YOUR USE OF THE FACILITIES.

3.2 PROOF OF MEMBERSHIP. You will receive one membership from Soul Warrior and each time you enter the studio, you must have the fitness trainer and/or consultant check you in using the Trainerize app OR Square Space/Acuity app.

3.3 CUSTOMER SERVICE. Any questions about this Agreement or issues with your membership or private program sessions can be directed to a Soul Warrior manager located at the 131 Dodge Street, Beverly, MA 01915 studio or via telephone call 1-800-931-9903.

3.4 CHANGE IN MEMBERSHIP OR BILLING INFORMATION. You must promptly notify Soul Warrior in writing of any changes in your billing information, address, or telephone number. You expressly permit Soul Warrior, or its authorized billing company, to obtain such updated information through payment card networks, card issuers or other third parties. Call us directly.

3.5 TRANSFER OF MEMBERSHIPS. Prepaid and recurring dues members and private program session clients may transfer their home studio to a new Soul Warrior studio location provided at least 30-day written notice is provided to the transferor studio locations (ie…the studio where the membership wishes to transfer services.) All outstanding fees and invoices at Soul Warrior must be fully paid prior to the transfer occurring.

3.6 DRESS CODE: Proper athletic attire is required. Soul Warrior reserves the right to make the final determination in its sole discretion regarding appropriate attire.

3.7 SMOKING: Smoking (including cigarettes, chewing tobacco, vapor pens) is prohibited, at all times, in all Soul Warrior locations and facilities.

3.8 LOSS OF PROPERTY: You and guests are encouraged not to bring valuables onto the premises of a Soul Warrior studio. Soul Warrior shall not be liable for the disappearance, loss, theft, or damage to personal property, including, among other things, money, jewelry, negotiable securities, and other items left by you or your guests.

3.9 LEVEL OF ACCESS: NOT APPLICABLE

3.10 LATE CANCEL AND NO-SHOW FEES: Members will be charged a $10 “late cancel fee” when he or she books a Soul Warrior class and fails to cancel the scheduled appointment within at least 12 hours before the start of the class. A $15 “no-show fee” will apply if a member reserves a class and fails to show for the class before the start time of the class. A Single Studio member will lose a class credit from his or her membership package, for every occurrence, where he or she makes an appointment for Soul Warrior class and does not show up for it or fails to cancel the schedules class appointment at least 12 hours before the start of the class.

3.11 DESCRIPTION OF SERVICES; HOURS OF ACCESS: Soul Warrior’s services include group class based and private program session based. To use Soul Warrior’s services and facilities, you must sign up for a class on-line at www.trainerize.com/soulwarrior app. Your membership with Soul Warrior shall include access to the studio to which you purchased. Subject to the class scheduling requirement, Soul Warrior intends to make available to all its members and guests during its designated hours and days of operation, the following equipment, and services: Cardiovascular, strength and conditioning equipment and apparatus. Soul Warrior provides group classes and private training for member use. Some group exercise classes, and optional services may require an additional charge. Soul Warrior reserves the right to revise its list of equipment and services at any time for any reason. Please see Soul Warrior’s management for a schedule of classes and hours of access to the studio.

3.12 PRIVATE TRAINING: All private training provided by Soul Warrior shall be subject to the terms of this Agreement, as well as any additional terms and conditions set forth in a separate Private Training Addendum entered between you and Soul Warrior. Use of private trainers not approved and employed by Soul Warrior is prohibited at Soul Warrior’s studio. You may not train other members or guests, conduct business activity, or solicit any business at any Soul Warrior Studio. Private training sessions are non-transferable and must be used at the studio where they are purchased or used via online with Soul Warrior trainers.

3.13 GUESTS: Your guests are permitted to use Soul Warrior’s studio, but only pursuant to such rules, regulations, fees, and schedules for guest use as then may be in effect. Soul Warrior reserves the right to limit the number of times any one guest can use a Soul Warrior studio and reserves the right to exclude any of your guest who use the studio, in the sole opinion of Soul Warrior, would be detrimental to Soul Warrior or any of its members or employees. All guests must complete a Guest Registration Form at the office desk with valid identification.

3.14 FREEZES: If you are temporarily unable to use the Soul Warrior studio for medical reasons., you may request a freeze of your membership in monthly increments. You are required to provide a written doctor’s note at the time of requesting a freeze and must complete our Membership Freeze Form and return it to the general manager of Soul Warrior. You acknowledge and understand that freezing your membership will extend the term of the Agreement and that you will still be obligated to pay your monthly dues as per your original Agreement until the minimum term has expired. A fee of $15 per month will assessed for freezing a membership. Soul Warrior Consulting, Inc. reserves the right to adjust this freeze policy from time to time at is soles discretion. All requests must be received at least fourteen (14) days prior to your next billing date period. Retroactive freezes will not be accepted.

3.15 CHILDREN’S USE: Children are not permitted in the studio unless they are accompanied by an adult or actively involved and enrolled in a class or session.

3.16 IMAGE USE: You understand that while on Soul Warrior premises, your, or your minor child’s image (including live or recorded images), may be used or shown on the Soul Warrior website or social media outlets (Facebook, Instagram, YouTube, Reels, etc….) and that by entering the premises you consent to the use of these images. You acknowledge that Soul Warrior’s studio is under 24x7 video surveillance for security and training purposes.

3.17 NON-DISCRIMINATION: Soul Warrior represents that it will not discriminate against any person because of sex, race, creed, age, color, origin, sexual orientation, or ancestry in considering applications for memberships and/or private program sessions.

3.18 MEMBERSHIP AND/OR PRIVATE PROGRAM SERVICES TERMINATION: We reserve the right to terminate your membership or private program services for any reason not expressly prohibited under by law. In the event of termination, we will notify you in person or send you a written notice of termination to your address on file and refund you any unused prepaid dues.

3.19 CHANGING THE TERMS, RULES, REGULATIONS: Soul Warrior may, at its sole discretion, may change any term in this Agreement, which will become effective upon (a) Soul Warrior providing you with written notice of the proposed change; and (b) giving you 30 days after your receipt of such notice in which to cancel you Agreement, penalty free, or renegotiate the change as to you. If, after a change is announced, you pay the next month’s invoice, you will be considered to have accepted the change.

3.20 ENTIRE AGREEMENT: Verbal agreements with Soul Warrior employees will not be accepted as valid. Except as expressly permitted herein, only this Agreement, and all rules and regulations of Soul Warrior, as revised from time- to- time, constitute the entire and exclusive agreement between you and Soul Warrior and supersedes all prior written and/or oral promises, representations, understandings and/or agreements relating to this membership purchase.

3.21 INVALID PROVISIONS: If any part of this Agreement is found to be invalid or unenforceable, the remainder of the Agreement will be valid and enforceable.

3.22 GOVERNING LAW: This Agreement shall be interpreted under the laws of the State in which you execute this Agreement. Any litigation under this Agreement shall be resolved in the courts of the State in which you execute this Agreement.

3.23 LIMITED LIABILITY: Unless prohibited by state law, an award by a court or arbitrator is limited to actual compensatory damages. Neither a court nor an arbitrator can award either party any indirect, special, incidental, or consequential damages, even if one party told the other party that they might suffer these damages

3.24 CONSENT TO CONTACT: By signing below, you are giving Soul Warrior Consulting, Inc and its authorized vendors consent to contact you by email to the email address as set forth on the face of this Agreement, or by text message or telephone call at the number provided herein for any matter related to your account, including collection of monies owed, alerts or notices regarding your purchased services, an promotions that may be of interest to you. You may update your communication preferences or revoke your consent to receiving promotional messages at any time. You expressly consent to receive autodialed and/or prerecorded message from or on behalf of Soul Warrior and its authorized vendors at the phone number provided, including any wireless number, as applicable (standard text rates apply). Your consent is not a condition of purchase.

4. SHIPPING: As a service based business, we do not ship any products or services.
